Synthomer plc announced a definitive agreement to acquire OMNOVA Solutions Inc., a global manufacturer of emulsion polymers, specialty chemicals and surfaces, for $10.15 per share in cash, implying an enterprise value of $824 million.

OMNOVA Solutions expanded its distribution agreement with Maroon Group, appointing Maroon as the U.S. distributor for Chemigum and Sunigum specialty elastomers, effective May 1, 2019.

Specialty chemicals provider Synthomer plc has reached an agreement with OMNOVA Solutions Inc. on the terms of an acquisition of OMNOVA.

Maroon Group was appointed exclusive distributor of OMNOVA Solutions' resins and additives for the eastern U.S. territory, effective November 1, 2018, covering coatings, adhesives, sealants, construction, and non-woven markets.

OMNOVA Solutions acquired Resiquímica, a Portugal-based producer of resins and binders for coatings and construction industries. The acquisition expands OMNOVA's technology and product offerings in the EMEA region.

Omnova Solutions will close its styrene-butadiene emulsions plant in Green Bay, Wisconsin, and consolidate production in Mogadore, Ohio, citing the decline of the paper market.
